1. Agreement to Terms
By accessing or using the services provided by Ygrene Technologies Limited ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services. These Terms apply to all visitors, users, and others who access or use our services.

Ygrene Technologies Limited provides comprehensive ICT solutions including but not limited to:
- Custom software development and implementation
- Cloud computing and migration services
- Cybersecurity solutions and consulting
- IT infrastructure management
- Data analytics and business intelligence
- Technical support and maintenance
3. User Obligations
3.1 Account Registration
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activities or actions under your account.
3.2 Acceptable Use
You agree not to:
- Use our services for any illegal or unauthorized purpose
- Violate any laws in your jurisdiction
- Infringe upon or violate our intellectual property rights
- Transmit any harmful code, viruses, or malicious software
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services or servers
4. Intellectual Property Rights
4.1 Our Intellectual Property
The services and their original content, features, and functionality are and will remain the exclusive property of Ygrene Technologies Limited and its licensors. Our services are protected by copyright, trademark, and other laws of Nigeria and foreign countries.
4.2 Client Content
You retain all rights to any content you submit, post, or display through our services. By providing content to us, you grant us a license to use, modify, and display that content solely for the purpose of providing our services to you.
5. Payment Terms
5.1 Pricing and Fees
Pricing for our services will be outlined in individual service agreements or quotations. All prices are in Nigerian Naira (NGN) unless otherwise specified. We reserve the right to change our pricing with reasonable notice.
5.2 Payment Schedule
Payment terms will be specified in the service agreement. Late payments may incur additional fees. We reserve the right to suspend or terminate services for non-payment.
6. Service Level Agreement (SLA)
We strive to provide reliable and high-quality services. Our service level commitments include:
- Specified uptime guarantees for hosted services
- Response times for support requests based on priority
- Regular maintenance windows with advance notice
- Disaster recovery and business continuity measures

7. Confidentiality
Both parties agree to maintain confidentiality of any proprietary information disclosed during the course of business. This includes but is not limited to business processes, technical data, customer information, and trade secrets. Confidential information must not be disclosed to third parties without prior written consent.
8. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount paid by you for the services in the 12 months preceding the claim
- We are not liable for any loss or damage caused by circumstances beyond our reasonable control
- We do not warrant that our services will be uninterrupted, timely, secure, or error-free
9. Indemnification
You agree to indemnify, defend, and hold harmless Ygrene Technologies Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
10. Termination
10.1 Termination by Either Party
Either party may terminate the service agreement with written notice as specified in the individual service contract. We reserve the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
10.2 Effect of Termination
Upon termination, your right to use the services will immediately cease. We will provide reasonable assistance in data migration subject to any outstanding payment obligations.
11. Warranty Disclaimer
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the services will meet your specific requirements or that the operation of the services will be uninterrupted or error-free. Any reliance you place on the services is strictly at your own risk.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
12.2 Dispute Resolution
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through arbitration in Abuja, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
